At Steinmayr & Co, the Private Equity & M&A department specializes in structured hedging of transaction risks in the international M&A arena, with particular expertise in the Austrian and CEE markets.
Our specialized team supports investors, corporations, and their advisors throughout the entire M&A process and develops tailored solutions, particularly in the areas of W&I insurance, tax insurance, and contingent risk insurance—from the first acquisition to large-scale, cross-border transactions.
Services at a glance
- Advisory, negotiation, and placement of W&I / R&W insurance for buyers and sellers in domestic and cross-border transactions of various sizes.
- Structuring of tax insurance solutions to hedge identified tax risks, including outside of M&A deals, e.g., in carve-outs and reorganizations.
- Contingent risk insurance for specific legal, compliance, or litigation risks that could block the deal or financing.
- Experience with single-asset deals, portfolio transactions, and large-scale transactions in the private equity and corporate sectors.
- Close collaboration with international insurers and our network via the Gallagher PEMA platform and RENOMIA for the implementation of cross-border structures.
- Support with bidding processes, term sheet structuring, and SPA negotiations from an insurability perspective.
- Coordination of the underwriting process, including data room review, Q&A, and coordination with all relevant advisors.
- Long-term portfolio support — from the initial acquisition through to exit with dedicated points of contact in Vienna.
